These Terms of Service (“Terms”) govern your access to and use of the Treasure Fox website, mobile
application, APIs, Vision AI tools, and marketplace (collectively, the “Service”), operated by Treasure Fox
AI LLC (“Treasure Fox,” “we,” “us,” or “our”).
By creating an account, clicking “I Agree,” completing checkout, listing an item, or otherwise using the
Service, you agree to these Terms and our Privacy Policy (https://treasurefox.ai/privacy-policy). If you do
not agree, do not use the Service.
These Terms contain a mandatory individual arbitration provision and a class-action / jury-trial waiver
(Section 12).
You must be at least 18 years old and able to form a binding contract. The Service is directed to users in
the United States.
Part A — General Terms (All Users)

1. The Service
   Treasure Fox is an Mid-Century Modern (“MCM”) marketplace and identification platform. Features
   may include:
   • Vision AI scans that identify and estimate value of mid-century pieces
   • Listing, buying, and selling MCM Products between independent sellers (“Merchants”) and buyers
   • Platform-arranged shipping (parcel, white-glove freight, LTL, or self-pickup)
   • Optional subscriptions, scan packs, and in-app AI assistant usage
   We may change, suspend, or discontinue features at any time. Prepaid subscription benefits that you
   have already paid for will not be diminished solely by a feature change during the prepaid period, except
   as required by law or described at purchase.

2. Accounts
   You must provide accurate registration information and keep it current. You are responsible for activity
   on your account and for keeping credentials secure. Notify us promptly of unauthorized use at
   admin@treasurefox.ai. You may not use another user’s account without permission.
   We may suspend or terminate accounts for inactivity (including six continuous months without use),
   material breach of these Terms, fraud, or risk to the Service or other users. If we terminate for
   convenience, we will refund prepaid unused subscription fees. If you cancel or we terminate for cause,
   prepaid fees are non-refundable except where required by law.

3. Subscriptions and Auto-Renewal
   YOUR SUBSCRIPTION (FOR EXAMPLE FOX GOLD, MONTHLY OR ANNUAL) WILL AUTO-RENEW UNTIL YOU
   CANCEL. CANCEL ANY TIME IN ACCOUNT SETTINGS. CANCELLATION TAKES EFFECT AT THE NEXT
   RENEWAL DATE. THERE ARE NO REFUNDS FOR PREPAID SUBSCRIPTION FEES EXCEPT AS STATED IN
   THESE TERMS OR REQUIRED BY LAW.
   Free plan allowances (scans / AI calls) and paid plan entitlements are as shown in the app or on
   treasurefox.ai (https://treasurefox.ai/) at the time of use or purchase. Scan packs and similar one-time
   purchases are separate from marketplace order payments.

4. Acceptable Use
   You agree not to: scrape or overload the Service; reverse engineer or bypass security; upload malware;
   harvest personal data; spam; impersonate others; post illegal, infringing, or harassing content; list non-
   MCM items as Selling when MCM verification is required; or use the Service for fraud or any unlawful
   purpose.

5. User Content and Feedback
   You retain ownership of content you submit (photos, descriptions, messages, comments, etc.). You
   grant Treasure Fox a worldwide, royalty-free, sublicensable license to host, display, reproduce, modify
   for formatting, and use that content to operate, improve, market, and promote the Service. You
   represent that you have all rights needed to grant this license and that your content does not infringe
   others’ rights.
   We do not claim your listings are authentic solely because a scan ran. AI identification and valuations are
   tools, not appraisals or guarantees of authenticity, provenance, or market price.

6. Our Intellectual Property
   The Service, branding, software, and our content are owned by Treasure Fox or its licensors. Except for
   the limited rights needed to use the Service, no license is granted. Feedback you send may be used by us
   without compensation.

7. Third Parties
   The Service may link to third-party sites or use third-party processors (for example Stripe, Shippo,
   Plycon, ODFL, carriers, and insurers). Those parties’ terms apply to their services. We are not responsible
   for third-party sites or for carrier performance beyond arranging labels or bills of lading as described in
   these Terms.

8. Privacy and Security
   Use of the Service is subject to our Privacy Policy. We take reasonable measures to protect data but
   cannot guarantee absolute security.

9. Disclaimer of Warranties
   THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY
   LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS
   FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SCANS,
   VALUATIONS, LISTINGS, OR DESCRIPTIONS ARE ACCURATE, COMPLETE, OR ERROR-FREE, OR THAT
   TRANSACTIONS OR DELIVERIES WILL MEET YOUR EXPECTATIONS.

10. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREASURE FOX AND ITS AFFILIATES, OFFICERS,
    EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL,
    CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.
    OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU
    PAID TO TREASURE FOX FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE
    (EXCLUDING AMOUNTS PAID TO MERCHANTS FOR PRODUCTS, WHICH ARE HELD OR REMITTED AS
    DESCRIBED BELOW). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES
    OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

11. Indemnity
    You will defend and indemnify Treasure Fox and its officers, directors, employees, and agents against
    claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the
    Service, your Products or listings, your content, your violation of these Terms or law, or your
    infringement of third-party rights.

12. Governing Law; Arbitration; Class Action Waiver
    These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules.
    The Service is deemed based in Michigan.
    Informal resolution. Before filing a claim, contact us at admin@treasurefox.ai and attempt to resolve
    the dispute for sixty (60) days.
    Arbitration. Except for claims for injunctive or other equitable relief to protect intellectual property or
    data security, and except for qualifying small-claims actions, disputes arising out of or relating to these
    Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its
    applicable rules, in Farmington Hills, Michigan, unless we agree otherwise. The Federal Arbitration Act
    governs the arbitration agreement.
    Class action / jury trial waiver. YOU AND TREASURE FOX WAIVE ANY RIGHT TO A JURY TRIAL AND TO
    PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Claims must be brought only in
    your individual capacity.
    Courts in Michigan have exclusive jurisdiction for provisional relief and for proceedings if the arbitration
    clause is found unenforceable.

13. California Consumer Notice
    The provider of services is Treasure Fox AI LLC at the address above. California residents may contact the
    Complaint Assistance Unit of the Division of Consumer Services, Department of Consumer Affairs, 1625
    North Market Blvd., Suite N 112, Sacramento, CA 95834, or (800) 952-5210 / (916) 445-1254.

14. Changes; Contact
    We may update these Terms by posting a revised version and updating the “Last Modified” date.
    Material changes will be noted as we reasonably determine. Continued use after changes constitutes
    acceptance. Questions: admin@treasurefox.ai.
    Part B — MCM Marketplace: Buying and Selling

15. Marketplace Role
    Treasure Fox operates a marketplace. When you buy a Product, you purchase from an independent
    Merchant, not from Treasure Fox as the seller of the goods (unless we expressly list ourselves as the
    seller).
    • Merchants are responsible for listing accuracy, condition disclosure, title, legality of sale, and (where
    applicable) packing and making the item available for pickup.
    • Treasure Fox may process payments, hold funds in escrow, arrange shipping labels or freight bills of
    lading, and charge platform fees.
    • Treasure Fox is not the carrier and does not warrant transit times, handling, or delivery condition.
    Carrier, insurer, and freight-partner terms apply to transit claims.

16. MCM-Only Listings
    Treasure Fox is an MCM-only marketplace (mid-century modern furniture and design, roughly 1940s–
    1970s).
    • Publishing a listing as Selling requires a linked MCM scan (scan_id) classified as MCM (is_mcm: true), plus required seller onboarding (including Stripe Connect and a pickup/ship-from address as
    required by the Service).
    • Draft listings may be saved without publishing.
    • Users may report listings believed not to be MCM. We may remove, demote, or require re-
    verification of listings in our discretion.
    • AI MCM classification and any authenticity or valuation output are informational only and do not
    guarantee that an item is authentic, correctly attributed, or worth any particular amount.

17. Merchant Obligations
    Merchants represent and warrant that:

18. They own the Product or are authorized to sell it, and can pass clear title free of undisclosed liens.

19. Listings are accurate: photos, dimensions, condition, flaws, restorations, and package
    dimensions/weight used for shipping quotes.

20. Products offered as Selling are MCM-eligible under Section 16.

21. They will fulfill paid orders promptly, make the Product available as arranged, and provide accurate
    pickup access details (address, stairs, dock, elevator, hours, gate codes, contacts).

22. They will comply with all applicable laws, including tax registration and remittance obligations for
    their sales where required.

23. They will not list prohibited, stolen, counterfeit (as knowingly sold as authentic when not),
    hazardous, or otherwise illegal goods.
    We may require Stripe Connect onboarding, identity verification, and addresses before payouts or
    before publishing Selling listings. We may suspend Merchants or listings for policy or risk reasons.

24. Buyer Obligations
    Buyers agree that they have reviewed the listing, pricing, shipping option, and any checkout additional
    notes before paying; that delivery/access information they provide is accurate; and that they will be
    available to receive freight deliveries when white-glove or LTL service is selected. Buyers must be adults;
    the Service does not sell to children.

25. Pricing, Fox Fees, Tax, and Escrow

    Escrow (timing, not a purchase guarantee): Buyer payment is held on the Treasure Fox platform
    balance. The Merchant is not paid at checkout. After delivery (or confirmed self-pickup) and a short
    inspection window (default three (3) days), if there is no open qualifying dispute under our process, we
    Transfer the seller payout (item − seller Fox Fee, minus any seller-side freight exception amounts
    described below) to the Merchant’s connected Stripe account. Bank payout timing from the connected
    account follows Stripe Connect settings (for example bi-weekly).
    Treasure Fox does not offer a separate “buyer protection” fee, money-back guarantee, or general return
    program. Do not rely on marketing phrases such as “protected purchase,” “full refund if not satisfied,”
    or “free returns” after shipment.

26. Offers
    Where a listing allows offers, a buyer’s offer is an invitation for the Merchant to accept under the listing
    and checkout rules then in effect. Accepted offers checkout under these Terms. Merchants may set
    minimum offer amounts. Merchants may refuse sales or limit quantities for any lawful reason.
    Part C — Delivery, Shipping, Cancellation, and Returns

27. Shipping Modes
    Depending on the listing and package size, checkout may offer one or more of:

    Parcel Treasure Fox purchases a carrier label (e.g. via Shippo
    / USPS, UPS, FedEx) when the Merchant marks the
    order shipped, using listing package dimensions and
    the addresses on the order.
    Plycon white-glove Treasure Fox creates a freight bill of lading with Plycon
    (or successor). The Merchant selects this service on
    the listing; Treasure Fox bills Plycon. Checkout freight
    is a sheet estimate; actual partner charges may differ
    after inspection or accessorials.
    ODFL LTL If the Merchant opts in, Treasure Fox may quote and
    book Old Dominion LTL. Checkout freight is an
    estimate; class, weight, or accessorials may change
    actual charges. Sales are final once shipment/pickup is
    confirmed as described below.
    Self-pickup No carrier. Buyer and Merchant arrange pickup; sale is
    final when pickup is confirmed in the Service.
    Oversized packages may be limited to freight and/or self-pickup under our shipping rules. Optional
    parcel insurance, Plycon Value Protection, or ODFL Additional Cargo Liability (if offered) are separate
    from base freight and subject to the provider’s terms.
    At checkout and on order detail, buyers (and Merchants on listing shipping previews) are shown these
    Terms plus mode-specific additional notes. Continuing to pay constitutes acknowledgment of those
    notes.

28. Merchant Shipping Duties
    Merchants must provide accurate finished package dimensions and weight. When marking an order
    shipped:
    • Parcel: Treasure Fox may buy the label from the platform balance using those details. Pack securely
    for carrier transit.
    • Plycon: Treasure Fox may create the BOL. For standard white-glove, do not pack or crate unless the
    rate sheet or Service instructions require it (for example, grandfather clocks must be packed/crated
    before pickup). Make the item available for the scheduled pickup with accurate access notes.
    • ODFL: Provide required pickup contacts and prepare the freight as required for LTL.
    • Self-pickup: Confirm pickup only when the buyer has taken possession.

29. Pre-Shipment Cancellation

    Abandoned unpaid checkouts may expire and cancel automatically.

30. Sales Final After Shipment / Pickup
    Except as expressly stated in Section 25 (Plycon delivery return) or required by law:
    • All sales are final once the Merchant marks the order shipped, carrier pickup is confirmed, or self-
    pickup is confirmed.
    • Treasure Fox does not offer buyer protection, a money-back guarantee, or a general return program
    for parcel, ODFL, or self-pickup after that point.
    • A post-delivery inspection / report-issue window (default three days) allows the buyer to report
    problems (for example not as described, damaged in transit, missing parts). Reporting pauses
    Merchant payout for review; it is not a return authorization and does not guarantee a refund.
    Outcomes are determined by Treasure Fox ops under these Terms and applicable law. Transit
    damage claims should also be pursued with the carrier/insurer/freight partner under their policies.

31. Plycon White-Glove: Exception Fees and Delivery Returns
    These rules apply when Plycon freight is used. They are also summarized in checkout additional notes.
    25.1 Late cancellation fee
    After Plycon booking is confirmed, if a driver is already on the way and the trip is cancelled, Plycon may
    charge a late-cancellation / trip fee.
    • Pickup-side cancellation → deducted by Treasure Fox from the Merchant’s original amount
    (including seller payout).
    • Delivery-side cancellation, or a delivery issue that returns the item to the Merchant → deducted
    from the buyer together with any Plycon initiated-shipping charges.
    25.2 Pickup issues (Merchant)
    If pickup cannot be completed as booked (access, address, stairs, dock, dimensions, weight, or other
    pickup details) and that changes Plycon’s charges, Treasure Fox deducts the difference from the
    Merchant’s original amount before or as part of payout.
    25.3 Delivery issues — item returned (buyer)
    If a delivery issue occurs and the Product is returned to the Merchant (including buyer refusal/denial of
    delivery, or cancellation while the driver is on the way to delivery):

32. Treasure Fox holds the buyer’s payment (no Merchant payout).

33. When the Merchant confirms the item is back, Treasure Fox automatically refunds the buyer for the
    amount paid minus Plycon’s initiated-shipping and/or cancellation fees.

34. The order is cancelled; the listing may return to Selling; the Merchant receives no remittance for
    that sale (except as we expressly determine for a particular case).

35. During an active delivery-return hold, the ordinary cancel endpoint is not available; the delivery-
    return confirm flow applies.
    Example: buyer paid $1,000; Plycon fee $150 → buyer refund $850 after Merchant confirms receipt.
    25.4 Who bills Plycon
    The Merchant selects Plycon on the listing; Treasure Fox bills Plycon on account. Buyers and Merchants
    do not pay Plycon directly for the base arranged move, except that buyer and Merchant remain
    responsible for the exception allocations in this Section 25.

36. Chargebacks and Payment Disputes
    Card network chargebacks and payment disputes are handled under Stripe and card-network rules. We
    may pause payouts, reverse transfers, or seek recovery from Merchants if a chargeback succeeds or
    payment is clawed back. Fraudulent chargebacks may result in account suspension.

37. Colors, Condition, and Vintage Goods
    Vintage and mid-century goods are often unique, restored, or worn. Photos and descriptions may differ
    from your display or expectations. We do not warrant that colors, materials, dimensions, or condition
    match the listing perfectly. Buyers purchase as described by the Merchant, subject only to the limited
    processes in these Terms.
    Part D — Additional Merchant Commercial Terms

38. Appointment as Payment Agent; Remittance
    For marketplace Sales, Merchants appoint Treasure Fox as agent to process the purchase transaction.
    Remittance Amount means amounts due to the Merchant after deduction of seller Fox Fees and any
    other amounts we may deduct under these Terms (including Plycon pickup-side fees). Remittance is paid
    only after the escrow/inspection conditions in Section 19 are met (or earlier if we expressly release
    early).

39. Taxes
    Merchants are solely responsible for determining and remitting taxes on their Sales except to the extent
    Treasure Fox collects and remits tax as a marketplace facilitator or via Stripe Tax where legally required.
    Treasure Fox does not provide tax advice.

40. Customer Data
    Merchants must use buyer contact and delivery data only to fulfill the order and as allowed by law and
    our Privacy Policy. Merchants must protect that data, notify us of breaches involving it, and stop using it
    when the order relationship ends except as required for legal retention.

41. Merchant Indemnity (Products)
    Without limiting Section 11, Merchants will indemnify Treasure Fox against claims arising from their
    Products, listings, packing, pickup readiness, tax obligations, and intellectual-property or authenticity
    claims related to what they sell.
    Part E — AI Features

42. Scans, Valuations, and Assistant
    Treasure Fox Vision AI, TF Foxy / assistant features, certificates, and similar tools are provided for
    informational and convenience purposes. They are not certified appraisals, authenticity guarantees,
    insurance valuations, or legal opinions. You remain responsible for purchase and sale decisions.
    Material modifications (October 3, 2026)
    This Terms of Service consolidates and updates marketplace buy/sell and delivery rules to match current
    Treasure Fox product behavior, including:
    • MCM-only Selling requirements
    • Buyer and seller Fox Fees and escrow / inspection payout timing
    • Parcel (Shippo), Plycon white-glove, ODFL LTL, and self-pickup
    • Pre-shipment cancel windows (parcel 24h before ship; Plycon until pickup)
    • Sales final after shipment/pickup for non-Plycon-return paths
    • Plycon pickup issues → Merchant original amount; delivery returns → hold then auto refund of
    amount paid minus Plycon fees
    Prior document versions (including “Product purchase price is not refunded” on Plycon delivery refusal)
    are superseded by Section 25.3 where inconsistent.
